These general terms and conditions apply to all services of MSvS Coaching & Advies (hereinafter: “coach”, “I” or “MSvS”), including individual coaching, executive coaching, supervision, coach training and related services, delivered to clients and/or coachees (hereinafter: “you” or “client”).

  • Client: the natural person or organisation that enters into an agreement with the coach, or on whose behalf a programme is purchased.
  • Coachee: the person who actually takes part in the coaching, supervision or training programme (this may be the same person as the client, for example in individual coaching, or another person, for example when an employer is the client).
  • Agreement: the arrangement between coach and client regarding the services to be delivered, rates and conditions.
  • Session: an individual coaching, supervision or training meeting, in any form (in person, online or by telephone).
  • Programme: a number of sessions agreed in advance.

Article 2 – Applicability

2.1 These terms apply to all quotations, agreements and services of MSvS Coaching & Advies, unless agreed otherwise in writing.

2.2 By entering into an agreement with MSvS Coaching & Advies, the client declares to be familiar with and to accept these general terms and conditions.

2.3 Deviations from these terms are only valid if agreed in writing.

Article 3 – Formation of the agreement

3.1 An agreement is formed after a (free) introductory conversation and confirmation of the programme, verbally, by e-mail or via a signed quotation/assignment confirmation.

3.2 For coaching or supervision commissioned by an employer or third party, the content of the sessions is treated confidentially; the coach does not report on the content to the client, unless this has been explicitly agreed in advance and with the coachee’s consent.

Article 4 – Performance of the agreement

4.1 The coach performs the agreement to the best of her insight, knowledge and ability, in accordance with the standards of good workmanship and in line with the ethical guidelines of the International Coaching Federation (ICF).

4.2 Sessions take place at a location agreed between coach and coachee, or online or in person.

4.3 The coach cannot guarantee that a particular result will be achieved. Coaching is a joint process; the result also depends on the commitment and involvement of the coachee.

Article 5 – Rates and payment

5.1 The applicable rates are agreed with the client prior to the programme.

5.2 Invoicing takes place after the first session of the programme. The payment term is 14 days from the invoice date.

5.3 In the event of late payment, the client is in default by operation of law and the coach is entitled to charge statutory interest and reasonable collection costs.

5.4 Unless stated otherwise, the rates mentioned are exclusive of any VAT due.

Article 6 – Cancellation and rescheduling of sessions

6.1 A scheduled session can be cancelled or rescheduled free of charge up to 48 hours before the start.

6.2 In the event of cancellation within 48 hours before the start, or a no-show, the coach is entitled to charge the full session.

6.3 If the coach is unable to attend, a new appointment is scheduled in consultation; no costs are attached to this for the client.

Article 7 – Interim termination

7.1 Coach and client/coachee may terminate the programme prematurely at any time, observing a reasonable term and in mutual consultation.

7.2 Appointments already made and invoiced sessions not yet taken are settled upon termination in mutual consultation.

Article 8 – Confidentiality

8.1 Everything discussed during sessions is treated by the coach as strictly confidential, in accordance with the ICF code of ethics.

8.2 This confidentiality may only be deviated from if the coach has a legal obligation to share information, or in the event of a serious suspicion of danger to the coachee or third parties.

Article 9 – Personal data (GDPR)

9.1 The coach processes personal data solely for the purpose of performing the agreement and in accordance with the General Data Protection Regulation (GDPR).

9.2 Personal data is kept no longer than necessary and is not provided to third parties, except with the coachee’s approval and/or if this is necessary for the performance of the agreement or required by a legal obligation.

Article 10 – Intellectual property

10.1 All materials provided by the coach (including workbooks, models, exercises and training material) remain the property of the coach and are intended solely for personal use by the coachee.

10.2 Reproduction, publication or distribution of these materials without the coach’s prior written consent is not permitted.

Article 11 – Liability

11.1 The coach is not liable for damage arising from decisions the coachee makes as a result of the coaching programme. The coachee remains responsible for their own choices and behaviour.

11.2 Any liability of the coach is limited to the amount paid out in the relevant case by the coach’s professional liability insurance. If the insurance does not pay out in a specific case, liability is limited to the invoice amount of the last three months of the programme.

11.3 The coach is not liable for indirect damage, including consequential damage, lost profit and missed savings.

Article 12 – Complaints

12.1 Complaints about the performance of the agreement must be reported to the coach in writing and with reasons as soon as possible, but no later than within 30 days of their occurrence.

12.2 The coach will respond to the complaint on its merits as soon as possible, in any case within four weeks.

12.3 If no solution is reached together, the client or coachee may turn to the ICF dispute procedure, or an independent business lawyer or mediator.

Article 13 – Applicable law and disputes

13.1 Dutch law applies to all agreements with MSvS Coaching & Advies.

13.2 Disputes that cannot be resolved in mutual consultation are submitted to the competent court in the district where MSvS Coaching & Advies is established, without prejudice to the parties’ option to choose mediation.
